These Terms of Service ("Terms") form a legally binding agreement between you and QALM ("QALM", "we", "us") governing your access to and use of the QALM mobile application and related services (the "Service"). Please read these Terms carefully. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction (typically 18), you may use the Service only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. By using the Service, you represent and warrant that you meet these requirements.
The Service supports authentication via Sign in with Apple and via email and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you agree to notify us promptly of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account.
QALM provides a conversational experience. Responses may be produced or curated by QALM personnel in addition to automated systems. The Service is provided for general informational and entertainment purposes only and does not constitute, and must not be relied upon as, professional advice of any kind, including legal, medical, psychological, financial, tax, or investment advice. You are solely responsible for any decisions you make based on the Service. Always seek the advice of a qualified professional.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the Service for your personal, non-commercial use. We reserve all rights not expressly granted.
You agree not to: (a) use the Service for any unlawful, harmful, fraudulent, infringing, or abusive purpose; (b) harass, threaten, or harm others, or submit content that is illegal, defamatory, hateful, or sexually exploitative (including any content that violates COPPA or child-protection laws); (c) attempt to probe, scan, reverse engineer, decompile, disassemble, interfere with, overload, or gain unauthorized access to the Service or its systems; (d) submit other persons' personal, confidential, or proprietary information without authorization; (e) use the Service to build a competing product or to train competing models by improper means; or (f) violate any applicable law or regulation, including U.S. export control and sanctions laws.
You retain ownership of the content you submit ("User Content"). You grant QALM a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process your User Content solely to operate, secure, and improve the Service and to provide responses. You represent that you have all rights necessary to submit your User Content and that it does not violate any law or third-party right.
The Service, including its software, design, text, graphics, brand, and logos, is owned by QALM or its licensors and is protected by United States and international intellectual-property laws. Except for the limited license above, no rights are granted to you.
We respect intellectual-property rights and comply with the Digital Millennium Copyright Act, 17 U.S.C. § 512. If you believe content infringes your copyright, send a notice with the elements required by § 512(c)(3) to support@qalm.app. We may remove infringing content and terminate repeat infringers.
If you obtained the app from the Apple App Store, you acknowledge that these Terms are between you and QALM only, not Apple, and that Apple is not responsible for the Service. Apple's standard Licensed Application End User License Agreement (available at apple.com/legal/internet-services/itunes/dev/stdeula/) applies to your use of the app to the extent these Terms are less restrictive; in case of conflict, the more protective terms for the end user govern as required by Apple. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT (see U.C.C. §§ 2-314, 2-315). We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content will be accurate or reliable.
TO THE FULLEST EXTENT PERMITTED BY LAW, QALM AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You agree to indemnify and hold harmless QALM and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your User Content, your use of the Service, or your violation of these Terms or applicable law.
You may stop using the Service and delete your account at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or to protect the Service or others. Sections that by their nature should survive termination (including Sections 6–14) will survive.
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Except where prohibited, you and QALM agree that disputes will be resolved exclusively in the state or federal courts located in California, and you consent to their personal jurisdiction. Nothing limits either party from seeking injunctive relief for intellectual-property infringement.
We may modify these Terms from time to time. Material changes will be indicated by updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
